1. Introduction
Welcome to Outcome. These Terms of Use ("Terms") govern your access to and use of the Outcome platform, including any content, functionality, interfaces, or services provided through or in connection with it (collectively, the "Platform"). By accessing or using Outcome, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
These Terms form a legal agreement between you and Outcome, the decentralized project and its maintainers ("we," "us," or "our").
These Terms apply to:
- (i) the publicly available interfaces, websites, or applications that publish these Terms or refer to them (collectively, the "Interfaces"), including any content or tools provided therein ("Content Features"); and
- (ii) the decentralized, blockchain-based technologies and protocols ("Protocol") accessible via self-custodial wallets through the Interfaces, including but not limited to any features that enable users to interact with market-based smart contracts ("Technology Features," and together with the Content Features, the "Features").
2. Platform Description
OUTCOME provides access to blockchain-based smart contracts that enable users to participate in prediction markets concerning the outcome of real-world events ("Markets") and HIP-3 enables permissionless deployment of perpetual markets on Hyperliquid, allowing any qualified builder to create and manage new derivatives markets. Builders stake HYPE and define market parameters, aligning incentives while expanding decentralized market innovation. HIP-3 markets are deployed on Hypercore (Hyperliquid Layer 1), while Outcome's native prediction markets are deployed on Arbitrum Sepolia. You may access such Markets via supported Interfaces using a compatible self-hosted wallet. OUTCOME does not custody funds, process transactions, or operate an exchange or clearinghouse.
We do not and cannot control, guarantee, or mediate your interactions with the Protocol or blockchain networks. By using your wallet with the Interfaces, you acknowledge that you are fully responsible for safeguarding your credentials and that transactions are irreversible. We cannot retrieve lost funds or intervene in any erroneous or unauthorized activity initiated through your wallet.
Outcome does not control, monitor, or verify the accuracy of third-party oracle providers and disclaims all liability for any errors, inaccuracies, delays, or manipulation in the data they provide.
You should evaluate all risks associated with decentralized technologies—including smart contract vulnerabilities, cryptoasset volatility, phishing, and front-end limitations—before participating.
Informational Nature of Content
Any informational content provided on the Interfaces (including market summaries, blogs, tutorials, social media links, or external references) is provided solely for general reference. Such content does not constitute investment, legal, tax, or any form of professional advice. You agree not to rely on such content for decision-making and acknowledge that OUTCOME disclaims any liability resulting from your reliance on such information.
We make no warranty as to the timeliness, accuracy, or completeness of the content and disclaim all responsibility for disruptions, temporary inaccessibility, or data loss due to software bugs, system failures, third-party service outages, or events beyond our reasonable control.
Legal and Regulatory Disclaimers
We are not a broker-dealer, exchange, investment adviser, or financial institution under the laws of any jurisdiction. Use of the Platform does not establish any fiduciary, client, or professional advisory relationship between you and OUTCOME. You should seek independent advice from appropriately qualified professionals before engaging in any financial, legal, or technical activity in connection with the Platform.
3. Your Eligibility, Commitments, and Restrictions
User Eligibility and Legal Capacity
By using any part of the Outcome ecosystem — including its website, decentralized application (dApp), smart contracts, interfaces, or any other associated tools and technologies ("Outcome Services") — you affirm and guarantee that:
- You are at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is greater.
- If you are acting on behalf of an entity, you have full legal authority to bind that entity to these Terms.
- You are not otherwise barred from using the Outcome Services under any applicable law, regulation, or order.
- You are not located in, established in, or a resident or citizen of a jurisdiction that Outcome designates as restricted or prohibited for participation.
Restricted Jurisdictions
You agree that you shall not access, use, or participate on the Platform if you are located in, incorporated in, or otherwise a resident, national, or citizen of any jurisdiction in which participation in online prediction markets, trading of event-based contracts, or use of blockchain-based financial services is restricted or prohibited by law.
This includes, without limitation, the following jurisdictions ("Prohibited Jurisdictions"):
- United States and its territories
- Canada
- United Kingdom
- European Union member states where such activity is not permitted
- Singapore
- Hong Kong
- People's Republic of China
- Cuba
- Iran
- North Korea
- Syria
- Afghanistan
- Myanmar (Burma)
- Any jurisdiction subject to sanctions imposed by the United Nations, OFAC, or any applicable governmental authority.
No Access From Restricted Locations
You further represent and warrant that you will not use VPNs, proxies, or other technological mechanisms to obscure your location or falsely represent that you are accessing the Platform from a permitted jurisdiction. Any attempt to circumvent geographical restrictions will constitute a material breach of these Terms.
Responsibility for Local Compliance
You acknowledge that it is solely your responsibility to ensure that your use of the Platform complies with all laws, regulations, and rules applicable in your jurisdiction. The Platform does not provide legal advice and makes no representation that its services are lawful in your country or region.
You agree not to access, interact with, or conduct transactions using Outcome Services if you are subject to the jurisdiction of any Restricted Jurisdiction, even if using VPNs or other technologies to conceal your location.
Responsibility for Wallets and Access
You are solely responsible for configuring and maintaining any digital wallets or applications used to interact with Outcome Services, including safeguarding access credentials such as private keys, seed phrases, and authentication devices. Outcome does not have custody of your wallet or tokens and cannot assist in their recovery.
Technical Circumvention and Misrepresentation
You agree not to use VPNs, proxy servers, or other anonymization or masking tools with the intent to bypass geographical, legal, or compliance restrictions implemented by Outcome.
Any attempt to circumvent geographic or regulatory restrictions—whether through the use of VPNs, proxy services, or other means—constitutes a material breach of these Terms and may result in immediate suspension or permanent termination of access to the Services.
You further warrant that any information you provide through Outcome Services is true, accurate, and not misleading. You may not impersonate another individual or entity, misrepresent your affiliation, or otherwise deceive other users or Outcome.
Interface Moderation and Market Visibility
The underlying smart-contract protocol is permissionless and operates independently of the user interface. Outcome does not control or restrict the deployment or execution of markets at the protocol level.
However, the Outcome-operated user interface is a curated access point and reserves the right, at its sole discretion, to restrict, hide, delist, or otherwise limit the visibility or accessibility of specific markets through the interface where such markets are reasonably determined to violate applicable law, public policy, regulatory guidance, platform standards, or pose material legal, compliance, or user-protection risks. Such moderation actions apply solely to the interface and do not affect the existence or functionality of the underlying markets on-chain.
Any interface-level moderation is intended to be applied in a proportionate, good-faith, and non-discriminatory manner, and does not constitute censorship or control of the permissionless protocol itself.
Sophistication and Risk Assumption
You acknowledge that using Outcome Services requires a strong understanding of cryptographic systems, blockchain-based protocols, decentralized finance, and market-based risk. You affirm that you have independently assessed and understood the financial and legal risks involved, including the possibility of losing all funds engaged in prediction contracts. All use of the Outcome Platform is entirely at your own risk.
Contracts available via Outcome are experimental and volatile by design. Transactions are final, irreversible, and may carry significant risk, especially when involving leverage or derivatives.
BY PARTICIPATING IN OUTCOME CONTRACTS, YOU ACCEPT THAT YOU MAY LOSE THE ENTIRETY OF YOUR CONTRIBUTED VALUE.
Third-Party Resolution Protocols
Outcome does not participate in the resolution of prediction markets (referred to as "Contracts"). Outcome relies on third-party data providers, including Pyth Network for DeFi and TradFi-related contracts, and SEDA in conjunction with independent data providers, for market resolution. The resolution process is fully autonomous, decentralized, and automated, and Outcome does not control, influence, or intervene in such resolution mechanisms. Users acknowledge and agree that the resolution of markets is subject to inherent risks, including potential failures, inaccuracies, delays, manipulation, or compromise of the underlying data feeds, consensus mechanisms, or oracle infrastructure. To the maximum extent permitted by applicable law, Outcome disclaims all liability and responsibility for any loss, damage, or adverse outcome arising from or related to any failure, malfunction, compromise, or incorrect resolution of the resolution mechanism or data sources.
Prohibited Conduct
By using Outcome Services, you agree that you shall not:
- Break, violate, or facilitate the violation of any applicable law or regulation;
- Use Outcome Services in a manner that manipulates markets, misleads others, or operates as fraud;
- Submit or execute trades involving spoofing, wash trading, front-running, or other manipulative strategies;
- Exploit the Services in any manner intended to harm, overload, disrupt, or destabilize the system or its users;
- Use automated tools, crawlers, or bots to extract data, interfere with operations, or gain unauthorized access;
- Transmit or introduce viruses, malware, or any other code that may harm or intercept private data;
- Disassemble, reverse-engineer, decompile, or replicate any portion of Outcome's source code, smart contracts, or protocols;
- Engage in behavior that is abusive, discriminatory, hateful, violent, or otherwise unlawful, as determined in Outcome's sole discretion;
- Attempt to access, use, or route any Outcome Services in or from a Restricted Jurisdiction;
- Circumvent access restrictions through technical workarounds, including VPNs, Tor, or similar means.
Outcome reserves the right, in its sole discretion, to restrict, suspend, or permanently terminate your access to any or all Outcome Services if you are suspected to have violated these Terms, applicable law, or the rights of others. Outcome may also report such behavior to appropriate law enforcement or regulatory authorities.
Compliance Investigations and Additional Information
Outcome may, where reasonably necessary, request additional information or documentation from users in order to verify compliance with these Terms, applicable anti-money laundering (AML), counter-terrorist financing (CTF), sanctions, and other legal or regulatory requirements. Any such request will be limited to information that is relevant, proportionate, and appropriate to the applicable compliance purpose.
If a user does not provide the requested information within a reasonable timeframe, Outcome may temporarily restrict access to certain features of the Services, solely to the extent required to address the relevant compliance obligations. Outcome will endeavor to apply any such measures in a fair, transparent, and non-discriminatory manner.
Where required by applicable law, regulation, court order, or binding instruction from a competent authority, Outcome may suspend or limit services, withhold rewards, or take other necessary compliance-related actions. Except where prohibited by law, Outcome will make reasonable efforts to inform users of such actions and the general basis for them.
Nothing in this section is intended to permit the arbitrary confiscation of user assets. Any restrictions relating to user funds will be applied only where legally required or strictly necessary for compliance purposes and will be maintained only for as long as such requirements remain applicable.
Feedback
You may voluntarily submit suggestions, improvements, or inquiries related to Outcome Services ("Feedback"). By submitting Feedback, you grant Outcome full ownership and rights to use, implement, or commercialize such Feedback without any obligation to you.
You represent that you hold the necessary rights to any submitted Feedback and that your submission does not infringe on third-party rights.
4. NON-CUSTODIAL INTERFACE
The Interface provides a method—though not the only one—for interacting with decentralized blockchain protocols, including but not limited to the Hyperliquid network (collectively, the "Protocols"). The Interface is separate and independent from the Protocols. The Company does not own, manage, or control the Protocols or any blockchain validators, nor can it modify, halt, or reverse any on-chain transaction.
When you initiate a transaction through the Interface, you authorize the Company solely to generate transaction data for your review and digital signature. After you sign the transaction using your connected wallet, it is your wallet that directly submits it to the applicable blockchain network, entirely under your control. The Company does not transmit, broadcast, execute, relay, or process transactions on your behalf and does not function as your agent, broker, intermediary, or counterparty.
Once confirmed on the network, blockchain transactions cannot be reversed. You are solely responsible for maintaining your own records of on-chain activity and for fulfilling any applicable tax or regulatory obligations. The Company does not guarantee that any records accessible through the Interface will remain available permanently.
The Company does not hold, store, or have access to private keys or recovery phrases and cannot restore or recover access to any wallet.
The Interface may depend on external infrastructure and integrations, as further described in Section 5 (Third-Party Components and Integrations).
5. THIRD-PARTY COMPONENTS AND INTEGRATIONS
The Interface may depend on, interact with, or provide access to third-party services, software, or infrastructure, including but not limited to non-custodial wallets, remote procedure call (RPC) providers, data partners, oracles, bridges, cloud-service providers, analytics tools, and blockchain protocols such as Hyperliquid (collectively, "Third-Party Components").
You acknowledge that all Third-Party Components are operated by independent third parties and are not controlled by the Company. The Company does not own, manage, endorse, or guarantee the performance, accuracy, availability, reliability, or security of any Third-Party Component, and provides no representations or warranties of any kind regarding them.
You agree that the Company shall not be liable for any loss, damage, or consequence arising from or related to your use of, reliance on, or interaction with any Third-Party Component integrated with or accessed through the Interface. Such matters are further governed by the indemnification provisions set forth in Section 6.
6. Intellectual Property Rights
Unless otherwise indicated, all rights, title, and interest in and to the Outcome Platform—including but not limited to its interfaces, infrastructure, branding, design elements, visual content, text, data compilations, educational materials, software tools, analytics, and associated databases ("Platform Content")—are owned or licensed by Outcome or its affiliates. This includes all associated intellectual property rights such as copyrights, trademarks, trade secrets, patents, designs, and moral rights, whether registered or unregistered, under applicable law.
Some components of the Outcome Platform may incorporate open-source or third-party software subject to separate license terms. Use of such components is governed by their respective licenses. All other components, unless explicitly marked otherwise, are proprietary to Outcome.
Except as expressly provided in these Terms, you are not granted any license or rights to use, reproduce, adapt, modify, publish, display, or exploit the Platform Content or any part of the Outcome Platform. Any unauthorized use, copying, or distribution may violate applicable intellectual property laws and is strictly prohibited.
The Outcome name, logos, marks, domain names, designations, and associated branding are trademarks or service marks of Outcome or its licensors. You are not permitted to use these marks in any way that suggests affiliation, endorsement, or sponsorship without prior written consent.
User-Generated Content
The Platform may enable you to upload, post, or submit content, including text, images, metadata, suggestions, feedback, or other materials ("User Content"). By submitting any User Content to Outcome, you confirm that:
- You possess all rights necessary to submit and license such content;
- Your submission does not violate any third-party rights, including intellectual property, privacy, or publicity rights;
- Your content does not contain unlawful, defamatory, threatening, discriminatory, offensive, or harmful material;
- Your content does not contain malware, viruses, or any code that could damage or disrupt systems;
- Your submission is not misleading or impersonating another individual or entity.
By submitting User Content, you grant Outcome a perpetual, worldwide, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use, display, reproduce, distribute, modify, adapt, publish, translate, and create derivative works from such User Content in any format or medium now known or hereafter developed, for any purpose related to the functioning or development of the Outcome Platform. You waive any moral rights you may hold in relation to your User Content, to the extent permitted by law.
Outcome is not obligated to:
- Treat any User Content as confidential;
- Provide compensation for User Content;
- Review or respond to any User Content;
- Store or preserve User Content after termination of your access.
All rights not expressly granted in these Terms are reserved. Any use of the Outcome Platform or Platform Content beyond what is expressly authorized in these Terms constitutes a material breach and may lead to suspension, termination, or legal action.
7. INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Outcome, its Affiliates, and each of their respective successors, assigns, officers, directors, employees, agents, and representatives (collectively, "Indemnitees") from and against any and all third-party claims, demands, actions, suits, liabilities, damages, losses, judgments, settlements, penalties, fines, assessments, costs and expenses, including reasonable attorneys' fees, court costs, expert and consultant fees, and other litigation-related expenses (collectively, "Losses"), arising out of or relating to:
- 1. Your breach of these Terms;
- 2. Your access to or use of the Outcome platform, including any User Content or transactions made through it;
- 3. Your violation of any Applicable Law or the rights of any third party;
- 4. Act or omission by you, your agents, users accessing the platform via your account, or any content you upload or publish;
- 5. Any claims of infringement or misappropriation of intellectual property, confidentiality, publicity, privacy, or other rights by your actions or content.
You agree to fully cooperate with OUTCOME, at your own expense, in the investigation, defense, and settlement of any claim subject to your indemnification obligations, including promptly providing all necessary information and assistance as reasonably requested by OUTCOME.
8. Suspension, Restriction of Access, and Termination
You may cease accessing or using the Outcome Platform and its associated services at any time, without the need to notify us.
Conversely, Outcome reserves the unrestricted right to suspend, restrict, or permanently revoke your access to any part of the Platform, its Interfaces, or related Features, at any time and for any reason, including but not limited to, suspected or actual violations of these Terms, applicable laws, or any misuse of the Platform. The determination of whether your conduct constitutes a breach or violation shall be made solely by Outcome, in its absolute discretion.
Certain provisions of these Terms are intended to and shall survive termination, regardless of the reason for such termination. These include, without limitation, clauses related to intellectual property rights, limitations of liability, disclaimers, indemnities, and dispute resolution mechanisms.
Outcome shall not be liable to you or any third party for any modification, suspension, or discontinuance of your access to the Platform.
9. Third-Party Content, Services, and Links
The Outcome Platform may reference, integrate, or provide access to third-party content, protocols, tokens, wallets, advertisements, or external services, including through hyperlinks, plug-ins, APIs, or smart contracts. Outcome does not operate, manage, or endorse any such third-party platforms, technologies, or service providers, and makes no representations or warranties as to their availability, accuracy, reliability, security, or compliance with any applicable laws or standards.
If you choose to interact with any third-party service—including but not limited to connecting a wallet, purchasing or transferring digital assets, or clicking on outbound links—you do so entirely at your own risk. Outcome has no control over the data practices, security protocols, or commercial terms of such third parties and shall bear no responsibility for any losses, damages, data breaches, or unauthorized activities that may arise from your engagement with them.
Any third-party website, token, or application you access via the Outcome Platform may collect personal or transactional information from you, operate under different terms of use and privacy policies, or expose you to technological vulnerabilities. You are solely responsible for reviewing their policies and practices before proceeding.
Links or references to third-party projects, advertisements, or wallets on the Outcome Platform are provided purely for informational or functional convenience and should not be construed as a recommendation, sponsorship, or endorsement. Outcome disclaims all liability arising from your interactions with such third-party platforms or content, and is not responsible for any direct or indirect consequences of your reliance on or use of such external resources.
You acknowledge that Outcome does not vet or verify third-party advertisements or listings, and any decision to engage with such third-party offerings is made at your sole discretion.
10. Disclaimers and Limitations of Liability
Platform Interfaces and Functional Access
By using the Outcome platform—whether through its website, application interfaces, smart contracts, or any associated tools or features—you acknowledge and accept that your access is provided without any guarantees as to performance, continuity, or security. The underlying technologies, including blockchain networks, third-party infrastructure, and cryptographic systems, are inherently volatile and subject to change, degradation, or disruption. We do not guarantee that your interactions with Outcome will be continuous, uninterrupted, or error-free, or that your digital assets will remain accessible, usable, or safe at all times. You bear all risks associated with the use of the Platform.
No Warranties or Guarantees
The Outcome platform, including all Interfaces and Features, is made available strictly "as is" and "as available", without warranties of any kind—express, implied, statutory, or otherwise. To the fullest extent permitted under applicable law, Outcome and its affiliates disclaim all warranties, including but not limited to:
- (i) merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment;
- (ii) any warranties that arise from prior dealings, trade practices, or course of performance;
- (iii) assurances that the Platform will operate securely, continuously, without bugs or vulnerabilities; and
- (iv) any guarantees that your data, digital assets, or on-chain activity will not be lost, corrupted, intercepted, or manipulated.
Limitation of Liability
To the maximum extent permitted by applicable law, Outcome, its contributors, contractors, and service providers shall not be liable for any indirect, incidental, special, punitive, or consequential damages—including lost revenue, loss of business opportunities, reputational harm, data loss, or loss of digital assets—arising from or relating to your use of, or inability to use, any portion of the Outcome platform. This limitation applies regardless of whether such damages were foreseeable or whether Outcome was advised of their possibility.
Outcome shall have no liability in connection with:
- (i) any suspension, limitation, or termination of your access to the Platform;
- (ii) scheduled or unscheduled downtimes, bugs, code exploits, or network issues;
- (iii) your reliance on third-party tools, wallets, or protocols;
- (iv) unauthorized access to or alteration of your transactions or data;
- (v) any fluctuation or total loss in the value of any token, digital asset, or wager; or
- (vi) events of force majeure, including but not limited to acts of war, cyberattacks, network failure, or legal prohibitions.
In no event shall Outcome's total cumulative liability, for all claims arising under or relating to these Terms, exceed the amount of one hundred U.S. dollars (USD $100).
11. Governing Law, Arbitration, and Dispute Resolution
Governing Law
These Terms, including any non-contractual obligations, and any dispute, claim, or controversy arising out of or in connection with these Terms or the Services—including their formation, validity, interpretation, performance, breach, suspension, or termination—shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of laws principles that would require the application of the laws of another jurisdiction.
Pre-Arbitration Negotiation
Consistent with the limitation of remedies and liability allocation set out in these Terms, you and Outcome agree to first attempt to resolve any dispute in good faith before initiating arbitration or formal proceedings. The party raising a dispute must provide written notice describing the nature and basis of the dispute ("Dispute Notice"). The receiving party shall respond within twenty (20) days, and the parties shall engage in good faith discussions for up to forty-five (45) days from receipt of the Dispute Notice. If the dispute is not resolved within this period, either party may initiate arbitration in accordance with this Section.
Binding Arbitration (Cayman Islands)
Except as expressly permitted under these Terms, any dispute not resolved through negotiation shall be finally and exclusively resolved by binding arbitration in accordance with the Arbitration Act (2024 Revision) of the Cayman Islands, as amended from time to time.
The arbitration shall be administered by the Cayman International Arbitration Centre (CIAC), or another reputable arbitral institution agreed by the parties, in accordance with the applicable rules in force at the time of the dispute.
The seat and legal place of arbitration shall be the Cayman Islands.
The arbitration shall be conducted in English.
The tribunal shall consist of one (1) arbitrator, appointed in accordance with the applicable rules.
The arbitrator shall have exclusive authority to determine the scope, validity, interpretation, applicability, and enforceability of this arbitration agreement, including any objections as to arbitrability.
The arbitral award shall be final and binding, subject only to any limited rights of challenge available under applicable Cayman Islands law.
Relationship to Limitation of Liability
The arbitration mechanism set out in this Section does not expand, limit, or modify the exclusions of liability, caps on damages, or disclaimers set forth elsewhere in these Terms. The arbitrator shall give full effect to the Limitation of Liability, Disclaimer of Warranties, and Risk Disclosure provisions when determining any claim or award.
Waiver of Class and Representative Actions
To the fullest extent permitted by applicable law, you agree that any dispute shall be brought solely in your individual capacity and not as part of any class, collective, or representative action. The arbitrator shall not have authority to consolidate claims, hear class proceedings, or grant relief on a representative basis. This waiver survives termination of these Terms.
Interim Relief and Survival After Termination
Nothing in this Section limits Outcome's right, as set out in the Termination, Intellectual Property, or Confidentiality sections, to seek interim, injunctive, or conservatory relief from any court of competent jurisdiction where necessary to protect its legitimate interests or preserve the status quo pending arbitration. This dispute resolution provision shall survive any suspension or termination of your access to the Services.
Exclusive Jurisdiction for Enforcement
For purposes of enforcing any arbitral award or seeking interim or provisional relief, you irrevocably submit to the exclusive jurisdiction of the courts of the Cayman Islands, and waive any objection based on venue, jurisdiction, or forum non conveniens.
12. Amendments and Platform Changes
Updates to These Terms
OUTCOME reserves the right to revise, amend, or update these Terms at any time, at its sole discretion. Any such changes will be reflected by updating the "Last Revised" date indicated at the beginning of the Terms and publishing the updated version through the OUTCOME Platform or associated interfaces. These changes will become effective upon publication unless a different effective date is explicitly stated. Your continued access to or interaction with any part of the Platform following such updates constitutes your binding acceptance of the revised Terms. If you do not agree to the updated Terms, you must immediately discontinue your use of the Platform and its associated tools and features. It is your sole responsibility to review the Terms periodically for any changes.
Modifications to the Platform and Features
We may make changes to the Platform, its user interfaces, functionalities, or any specific tools or features offered, without prior notice. These adjustments may include enhancements, removals, restrictions, or the suspension of specific capabilities—whether temporarily or permanently. Such decisions may be driven by technical, regulatory, or strategic considerations and are entirely within the Company's discretion.
At any time, OUTCOME may suspend, discontinue, restrict, or disable access to the Platform or any part of its services. Your access rights will immediately terminate upon such a suspension or cessation, and you acknowledge that OUTCOME shall not be liable to you or any third party for the impact or consequences of these decisions, including any associated loss or inconvenience.
Survival of Terms
Even after your access to the Platform is terminated or restricted, certain provisions of these Terms shall remain in effect. These include, but are not limited to, Eligibility and Restrictions, Risk Disclosures, Disclaimers, Limitation of Liability, and Indemnification, as well as any other sections that, by their nature or applicable law, are intended to survive termination.
13. General Terms
Entire Agreement
These Terms, along with any documents, policies, or notices expressly incorporated herein by reference, constitute the full and binding agreement between you and Outcome regarding your access to and use of the Platform and its related services. They supersede any prior agreements, understandings, or communications—whether oral or written, formal or informal—pertaining to the subject matter herein. No oral or written information or advice given by Outcome, its representatives, or any third party shall create any obligation or warranty not expressly stated in these Terms.
No Partnership or Agency; No Assignment by Users
Your use of the Platform does not create any partnership, joint venture, agency, fiduciary, or employment relationship between you and Outcome. You agree that you have no authority to bind Outcome in any respect or to hold yourself out as having such authority. These Terms are personal to you, and you may not assign, delegate, sublicense, or transfer any of your rights or obligations without Outcome's prior written consent. Any purported assignment or transfer in violation of this provision shall be void and of no effect. Outcome reserves the right to freely assign or transfer these Terms, in whole or in part, without notice or restriction, including to any successor in interest in connection with a merger, acquisition, corporate reorganization, or sale of assets.
No Waiver
No failure or delay by Outcome in exercising any right, remedy, or provision under these Terms shall constitute a waiver of such right or provision, nor shall any single or partial exercise preclude any further exercise thereof. Any waiver must be expressly stated in a written instrument signed by an authorized representative of Outcome. No waiver shall be construed as a continuing waiver unless explicitly stated as such.
Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be enforced to the maximum extent permissible under applicable law to reflect the original intent of the parties, and the remaining provisions shall remain in full force and effect. This severability clause applies across jurisdictions and ensures continued enforceability to the extent legally permissible.
Remedies and Rights Are Cumulative
All rights and remedies provided to Outcome under these Terms are cumulative and are in addition to, and not exclusive of, any rights or remedies provided by law or in equity. Outcome's failure to enforce any provision or remedy shall not affect its right to do so at any later time, nor shall it limit any other remedies available under applicable law.
14. User Rewards and Prize Eligibility
Subject to these Terms, every user of the Platform may be eligible to receive virtual reward Points ("Points") based on their interactions and activity on the Platform, as determined solely by OUTCOME. The allocation, accrual, and distribution of such Points shall be governed by internal policies of the Platform, which may be modified or suspended at any time without prior notice.
Points earned on the Platform may be used to participate in prize distributions, subject to the criteria, timelines, and rules established by OUTCOME from time to time. The availability, nature, value, and number of prizes are determined at the sole discretion of the Platform's management, and OUTCOME makes no representations or guarantees regarding the outcome, availability, or delivery of any such prizes.
Points are virtual reward tokens with no intrinsic or monetary value. They are not redeemable for fiat currency, cryptocurrency, or any other financial benefit, unless expressly authorized in writing by OUTCOME.
All decisions by OUTCOME with respect to the issuance of Points, eligibility for rewards, or prize distribution shall be final and binding. Points have no cash value, do not represent ownership, equity, or entitlement in any entity, and may not be sold, exchanged, or transferred except as expressly permitted by OUTCOME.
OUTCOME reserves the right to modify, suspend, or terminate the rewards system, or any aspect thereof, at any time for any reason, including but not limited to abuse, fraud, or legal/regulatory concerns, without liability to the user.
